Real Estate Finance and Transactions
The Firm's Real Estate, Finance and Transactions practice group, which represents financial institutions, developers, and landlords, among others, handles a variety of real estate matters including acquisitions, sales, loan originations, restructures and assumptions, credit enhancement, leasing and construction. Projects in which FRB&C attorneys have been involved include office buildings, hotels, auto dealerships, multi-family properties, income-producing properties, residential tracts, mixed use developments and other transactions.
Financial Services
The Firm's Financial Services practice provides legal representation to banks, savings associations, life insurance companies, asset-based lenders, non-traditional banks (including conduit lenders and master and special servicers), private lenders and other providers of financial services. In addition to real estate documentation, the Firm handles commercial loan documentation for personal property secured and unsecured credits, revolving lines of credit and formula based transactions, participation agreements, and other forms of syndicated credit. The Firm advises clients in commercial loan servicing and also provides assistance with government regulatory issues, forms and compliance.
Creditors Rights and Commercial Litigation
The Firm's Creditors Rights and Commercial Litigation practice covers all aspects of debt recovery, including debt restructuring, workout agreements, litigation, provisional remedies, (such as receiverships, attachments and claim and delivery), and post-judgment enforcement. The Firm has been a leader in commercial collection for more than 20 years, and has an expertise in this area that we believe is second to none in California.
Equipment Leasing
Consistent with our long history of representing financial services companies, the Firm has developed a substantial Equipment Leasing practice. From small leasing programs to multi-million dollar equipment, the Firm has negotiated, documented and closed virtually every type of equipment financing program available to small, medium and large national and multi-national businesses.
Bankruptcy and Business Reorganizations
To complement the Creditor's Rights and Commercial Litigation practice, the Firm has developed an extensive practice in business reorganizations and bankruptcy. The Firm's Bankruptcy and Business Reorganizations practice group handles everything from straightforward relief from stay actions involving income-producing property to highly complex Chapter 11 business reorganizations. (In fact, the Firm successfully represented Union Bank of California before the United States Supreme Court in Union Bank v. Wolas.) The Firm's broad range of workout experience and knowledge of commercial and real estate law allows members of this practice group to become involved in the transactions before the bankruptcy petition is filed in order to maximize the creditor's protection and its recovery.
Business Litigation
The Firm's Business Litigation practice covers a wide range of matters including breach of contract claims, construction disputes, real property disputes, harassment and discrimination claims, intellectual property actions, class action defense, bad faith claims, unfair competition and other anti-competitive practices, and tort actions, among other matters. The attorneys in the group try, mediate and arbitrate matters on a regular basis in all of the state and federal courts in California, as well as, from time to time, in other jurisdictions.
